Partner Agreement.

The commercial and operational terms that govern your relationship with the Zoozhi partner network — covering verification, commission, payouts, conduct, and your rights as a verified partner.

1. Partner Eligibility and Verification

Who can apply

The Zoozhi partner network is open to individuals and businesses based in India who offer experiences in one or more of Zoozhi's 8 categories: Arts & Crafts, Fitness & Wellness, Food & Cooking, Music & Performing Arts, Tech & Innovation, Outdoor & Adventure, Learning & Education, and Entertainment. Applicants must be at least 18 years of age.

Verification process

All partner applications are reviewed by the Zoozhi team within 24 hours of submission. Verification includes credential checks, a quality assessment of your proposed experience, and an onboarding walkthrough. Zoozhi reserves the right to decline any application at its sole discretion, without being required to state a reason.

Verified Partner status

Upon successful verification, you will be awarded the Zoozhi Verified Partner badge. This status is conditional and may be reviewed or revoked if your conduct, listing quality, or learner ratings fall below Zoozhi's standards.

2. Commission and Payouts

Commission structure

Zoozhi operates on a transparent revenue-share commission model. The applicable commission rate will be communicated to you during onboarding and confirmed in writing before your listing goes live. The commission rate is subject to change with 30 days' written notice.

Payout schedule

Partner payouts are processed on a weekly basis, directly to your registered bank account. Payouts are made for all completed and verified bookings in the preceding 7-day period, net of the applicable commission and any applicable taxes.

No upfront fees*

Zoozhi charges no listing fee for the first 50 verified partners on the platform. This introductory offer is subject to availability and will be confirmed at the time of onboarding. After the first 50 partner slots are filled, a listing fee structure will apply and will be communicated in advance. Our commercial model is success-based — you pay a commission only on bookings you successfully complete. * Zero listing fee applies to the first 50 verified partners only.

Taxes

You are solely responsible for reporting and paying all applicable taxes on your earnings from the Zoozhi platform, including GST where applicable. Zoozhi will provide the necessary transaction records to support your tax filings. Where required by law, Zoozhi may deduct Tax Deducted at Source (TDS) from payouts.

3. Listings and Experience Quality

Listing standards

Your experience listings must be accurate, clearly described, appropriately priced, and categorised correctly within one of Zoozhi's 8 experience categories. Listings must not be misleading, unlawful, or harmful. Zoozhi reserves the right to edit, suppress, or remove listings that do not meet our quality standards.

Experience delivery

You are responsible for delivering experiences as described in your listing — including the correct venue, timing, duration, group size, and materials. Failure to deliver as described may result in refunds to learners, penalties, or suspension of your partner account.

Intellectual property in listings

You retain ownership of the content you create for your listings. By publishing a listing on Zoozhi, you grant us a non-exclusive, royalty-free, worldwide licence to display, reproduce, and promote that content for the purpose of operating and marketing the platform.

4. Bookings and Cancellations

Accepting bookings

When a learner books your experience, you are contractually obligated to deliver that experience as listed. Repeated cancellations by the partner will negatively impact your Verified Partner standing and may result in account suspension.

Cancellation policy

The cancellation terms applicable to learners will be specified on your listing page and agreed during onboarding. Where a learner cancels within the permitted window, the applicable refund will be processed by Zoozhi. Where a partner cancels a confirmed booking, the learner will receive a full refund, and the partner will not receive payment for that session.

Force majeure

In genuine cases of force majeure (natural disaster, government restriction, medical emergency), Zoozhi will work with partners and learners to reschedule or process appropriate refunds. Partners must notify Zoozhi as soon as a force majeure event is known.

5. Partner Conduct Standards

Professional conduct

All Zoozhi partners are expected to maintain the highest standards of professionalism — treating learners with respect, maintaining a safe and inclusive environment, and delivering consistently high-quality experiences.

Non-solicitation

Partners agree not to solicit learners discovered through the Zoozhi platform to book directly outside of the platform for a period of 12 months following a booking. This clause protects the integrity of the Zoozhi partner ecosystem.

Prohibited activities

Partners must not:

  • Engage in discriminatory conduct toward learners based on religion, caste, gender, disability, or any other protected characteristic
  • Provide false credentials or misrepresent qualifications, certifications, or professional experience
  • Offer experiences that are unlawful, physically dangerous, or in violation of any applicable Indian regulation
  • Use the Zoozhi platform to advertise, promote, or redirect learners to competitor services

6. Intellectual Property

Platform IP

All intellectual property in the Zoozhi platform — including software, brand assets, and proprietary methodologies — remains the exclusive property of Viventur Technologies Private Limited. Your partner status does not grant you any ownership or licence to Zoozhi IP beyond what is strictly necessary to use the platform.

Your IP

You retain all intellectual property rights in your original content, curriculum, and methodologies. Zoozhi will not claim ownership over content you create independently. The licence you grant us under Section 3 is limited to platform operations and marketing.

7. Suspension and Termination

Termination by partner

You may terminate your Zoozhi partnership at any time by providing 14 days' written notice to admin@zoozhi.com. Pending bookings confirmed before the notice period must be honoured or appropriately rescheduled.

Termination by Zoozhi

Zoozhi may suspend or terminate your partner account immediately if you: violate these Terms or our conduct standards; provide false information; receive consistently poor learner ratings; or engage in any activity harmful to learners, Zoozhi, or the Viventur Technologies Private Limited group.

Effect of suspension

A suspended partner immediately ceases to be part of the Zoozhi network. Upon suspension, all active listings are taken offline and all upcoming events booked through the platform are cancelled automatically. Affected learners will be notified and issued a full refund. Any pending payouts owed to the suspended partner will be withheld and placed on hold for the duration of the suspension, pending the outcome of any review or proceedings. Zoozhi reserves the right to apply withheld amounts toward refunds, penalties, or other obligations arising from the suspension. Zoozhi bears no liability to the suspended partner for losses arising from such cancellations or payment holds.

Effect of termination

Upon termination, your listings will be removed from the platform and all upcoming events will be cancelled automatically, with full refunds issued to affected learners. Any outstanding payouts for sessions already completed prior to termination will be processed at the next scheduled payout cycle. The non-solicitation obligation in Section 5 survives termination.

8. Liability

Partner liability

You are solely responsible for the safe and lawful delivery of your experiences. Zoozhi is a marketplace platform and is not liable for any injury, loss, or damage suffered by learners during your sessions. You are strongly advised to maintain appropriate public liability insurance for your practice.

Platform liability

Viventur Technologies Private Limited's liability to you as a partner is limited to the commission payable on confirmed bookings. We are not liable for indirect, incidental, or consequential losses arising from your use of the platform.

9. Governing Law

Jurisdiction

This Partner Agreement is governed by the laws of India. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts at Coimbatore, Tamil Nadu, India. Parties agree to first attempt resolution through good-faith negotiation before initiating legal proceedings.
